UnitedHealth Group has completed its acquisition of home health and hospice provider Amedisys for $3.3 billion ($101 per share), following a settlement with the U.S. Department of Justice that resolved antitrust concerns. The deal, originally announced in June 2023, faced a two-year delay due to regulatory hurdles and a DOJ lawsuit, but was ultimately approved after UnitedHealth agreed to divest 164 care locations across 19 states (generating $528 million in revenue) to The Pennant Group and BrightSpring Health Services. Amedisys, which serves over 465,000 patients across 38 states and earned $621 million in Q2 net service revenue, has now become a wholly-owned subsidiary of UnitedHealth and ceased trading on Nasdaq, making UnitedHealth one of the largest hospice providers in the U.S. following its 2023 acquisition of LHC Group for $5.4 billion.
